2. Eligibility

You must be legally capable of entering binding agreements and at least 18 years of age to use the services.


3. Description of Services

Depending on plan and availability, ZepyChat may provide:

  • communication tools
  • CRM systems
  • automation tools
  • AI-assisted features
  • shared inbox tools
  • campaign tools
  • integrations and APIs
  • subscription software services

Features may vary, evolve, be upgraded, paused, or discontinued from time to time.


4. Account Registration

Users may need to create an account. You agree to provide accurate, current, and complete information and keep account credentials secure.

You are responsible for activities occurring under your account unless unauthorized use is promptly reported.


5. Team / Workspace Accounts

For multi-user accounts, the workspace owner or administrator may manage users, permissions, billing settings, and access controls.

Admins are responsible for authorized use within their workspace.


6. Acceptable Use

You must not use the platform for:

  • unlawful activity
  • fraud or deceptive conduct
  • spam or unsolicited messaging
  • malware or harmful code
  • impersonation
  • harassment or abuse
  • unauthorized access attempts
  • platform disruption
  • infringement of intellectual property rights 


7. Messaging Compliance

Users are responsible for complying with applicable communication laws and third-party rules when sending messages or campaigns.

Users should obtain appropriate consent where required.

Sending a message does not guarantee delivery, read status, response, conversion, approval, or recipient action.


8. Third-Party Platforms

Some services may rely on third-party providers such as Meta, payment gateways, hosting providers, telecom vendors, or other partners.

We do not control third-party decisions, policy changes, outages, suspensions, fees, pricing revisions, approvals, or enforcement actions.


9. Pricing and Charges

Charges may include:


Platform Fees

  • subscriptions
  • onboarding fees
  • premium features
  • add-ons
  • custom agreed services


External Charges

Third-party providers may apply separate usage-based charges such as messaging conversation fees, template charges, payment processing fees, telecom fees, or other provider fees.

Unless expressly stated, external charges are separate from platform fees and may change over time.


10. Subscription Billing

Some plans may renew monthly, yearly, or on another billing cycle until canceled.

By subscribing to recurring plans, you authorize applicable recurring charges unless canceled before the next billing cycle.


11. Renewal Reminders

We may, but are not obligated to, send renewal reminders, billing notices, or upcoming charge notifications.

Failure to receive a reminder does not cancel a valid renewal.


12. Cancellation Method

Users may request cancellation through the dashboard (if available), support channels, billing contact methods, or other officially approved methods.

Cancellation of future renewals does not automatically create entitlement to refunds for prior billing periods.


13. Auto Pay / E-Mandate

Where enabled, recurring plans may use Auto Pay, ECS, UPI AutoPay, card mandates, or similar payment authorization methods through approved processors.


14. Failed Payments

If payments fail, access may be limited, paused, downgraded, suspended, or renewal attempts may be retried until dues are resolved.


15. Taxes

Applicable taxes including GST may be charged where required by law.

Users are responsible for providing accurate billing and tax details.


16. Refunds and Billing Disputes

Refunds, cancellations, and billing disputes are governed by our Refund Policy.

Fraudulent, abusive, or unauthorized chargeback claims may result in account review, suspension, or lawful recovery action.


17. Fraud / Risk Screening

We may review, delay, restrict, or decline suspicious transactions, abusive activity, identity inconsistencies, or high-risk usage where reasonably necessary.


18. Service Activation

A service may be considered activated when any of the following occurs:

  • account access is created
  • login credentials are issued
  • dashboard access is granted
  • onboarding begins
  • API access is enabled
  • subscription features become available


19. Legacy Plans and Future Plans

Older plans, promotional plans, or grandfathered plans may differ from current pricing, limits, or features.

New features may require upgraded plans or separate pricing.


20. Intellectual Property

The platform, software, branding, logos, systems, workflows, content, and related materials are owned by ZepyPay Technologies or respective rights holders.

No unauthorized copying, resale, reverse engineering, scraping, cloning, or misuse is permitted.


21. User Content

Users remain responsible for data, messages, templates, contacts, files, and content submitted or transmitted through the platform.

You represent that you have rights and permissions to use such content.


22. Fair Usage

Any unlimited, high-volume, or promotional offering may remain subject to fair, lawful, and reasonable usage limits designed to protect platform stability and prevent abuse.


23. AI Features Notice

AI-assisted outputs are provided for convenience and should be reviewed before use in critical legal, medical, financial, or sensitive matters.


24. Service Availability

We aim to provide reliable services, but uninterrupted or error-free availability cannot be guaranteed.

Temporary interruptions may occur due to maintenance, upgrades, internet failures, security incidents, or third-party outages.


25. Support Scope

Support channels, response times, and service levels may vary depending on plan type, issue complexity, business hours, volume, or operational capacity.


26. Beta / Experimental Features

Some features may be labeled beta, trial, or experimental and may change, pause, or be removed without obligation.


27. Security Responsibilities

Users should maintain password security, secure connected accounts, and promptly notify us of suspected unauthorized access.


28. Data and Backups

Users are encouraged to maintain their own copies of important data. Deleted data may remain in backups temporarily.


29. Data Export

Where available, users may request data export subject to plan eligibility, technical feasibility, identity verification, reasonable timelines, or applicable fees for custom work.

Export requests should be made within a reasonable period after closure or termination.


30. Non-Transferable Accounts

Accounts, subscriptions, and access rights may not be sold, assigned, shared commercially, or transferred without written approval where applicable.


31. Suspension or Termination

We may suspend, restrict, or terminate accounts if reasonably necessary due to:

  • policy violations
  • abuse
  • unlawful activity
  • payment default
  • security risks
  • third-party provider restrictions 


32. No Guarantee of Results

We do not guarantee sales, leads, revenue, campaign performance, approvals, deliverability, rankings, or business outcomes.


33. Sales / Verbal Promises

Only official written policies, approved written quotations, or authorized written commitments from the company shall govern services. Informal verbal statements do not override written terms.


34. Brand and Partnership Claims

Users may not falsely claim official partnership, endorsement, certification, ownership, or affiliation with ZepyChat or third-party providers without authorization.


35. Notices

Important notices may be sent to the registered email address, account dashboard, billing contact, or other reasonable communication channels.


36. Limitation of Liability

To the maximum extent permitted by law, ZepyPay Technologies shall not be liable for indirect, incidental, special, consequential, or business losses arising from use of the services.


37. Indemnity

Users agree to indemnify and hold harmless ZepyPay Technologies from claims arising from misuse of the platform, unlawful conduct, or breach of these Terms.


38. Force Majeure

We are not responsible for delays or failures caused by events beyond reasonable control, including disasters, outages, strikes, cyber incidents, government actions, or infrastructure failures.


39. Governing Law

These Terms are governed by the laws of India.


40. Dispute Resolution

Users are encouraged to contact us first so we may attempt to resolve issues promptly and reasonably before formal escalation.

Any formal disputes, subject to applicable law, shall be addressed before competent courts in India.


41. Business Transfer

If our business is reorganized, merged, sold, or transferred, these Terms may continue with the successor entity where lawful.


42. Entire Agreement

These Terms together with linked policies and any expressly accepted written order terms form the governing agreement between the user and ZepyPay Technologies regarding the services.


43. Severability

If any provision is found unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.


44. Waiver

Failure to enforce any provision once does not waive future enforcement rights.


45. Language Interpretation

If these Terms are translated into another language, the English version may govern in case of material inconsistency.


46. Policy Updates

We may update these Terms from time to time. Updated versions become effective when published on the website.
